DotClick, LLC (“we,” “our,” “us,” or “agency”) provides:

  • Professional web design
  • Custom web development
  • Digital presence management
  • Search engine optimization
  • Digital marketing
  • Brand development

Project Terms

Content Delivery

  • Clients must provide all necessary content within 30 days of project start
  • Final payment is due by the specified date regardless of content delivery status
  • Content provided after deadlines will be added either by client via CMS or by us at standard hourly rates
  • Deliverables requiring client-provided content will not be created if content is not provided
  • No refunds will be issued for uncompleted deliverables due to missing client content

Project Timeline

  • Timelines are contingent upon client responsiveness
  • Client delays automatically extend project timeline
  • We reserve the right to adjust schedules due to client delays
  • Project timelines are for reference and subject to change

Payment Terms

Payment Structure

Payment structure will be determined per project and may include:

  • Milestone-based payments
  • Fixed monthly payments
  • Single payment with discount
  • Extended payment plans
  • Pay-as-you-go options

Late Payments

  • Late payment fees apply after specified due dates
  • Work may be suspended until payments are current

Website Ownership

Transfer of Rights

  • Client receives full ownership of final deliverables upon complete payment
  • Ownership includes custom code and design elements
  • Admin access available upon request and may incur additional fees

Footer Branding Rights

Agency Footer Credit

  • Right to maintain our branding in website footer as long as the website utilizes any original design elements, code, or structure created by us
  • Agency branding must remain in its original format and placement as determined by us
  • Footer credit format will be determined by us at time of design

Removal Terms

  • Client may request removal of our branding for an additional fee
  • Early removal without payment constitutes a breach of contract
  • Removal fee reflects the marketing value loss to our agency
  • Fee amount will be provided upon request

Design Modification

  • Client must notify us of significant design changes
  • We reserve the right to remove branding if modifications compromise design quality
  • We will maintain records of the original website design and implementation for verification purposes

Termination

Project Cancellation

  • Either party may terminate with written notice
  • No refunds will be issued upon project termination
  • Client receives completed work upon full payment
  • Termination fees apply for cancellation without cause

Excessive Delays

  • Projects inactive for 60+ days may be terminated
  • Additional fees apply for project revival
  • Final payment due for work completed

Additional Terms

Third-Party Services

  • Client responsible for third-party service fees
  • We’re not liable for third-party service issues
  • Hosting and domain costs not included unless specified

Project Changes

  • Major scope changes require written agreement
  • Additional fees apply for scope changes
  • Rush fees apply for expedited work

Policy Updates

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website with an updated “Last Updated” date. Your continued use of our services after any changes constitutes acceptance of the modified Terms. We recommend reviewing these Terms periodically to stay informed of any updates.

This agreement is governed by the laws of Wyoming and constitutes the entire agreement between parties.
